1. Agreement to terms
By engaging Aggos Digital Marketing LLC (“Aggos,” “we,” “us,” or “our”), whether through our website at aggosdigital.com, a signed proposal, or any verbal or written agreement, you (“Client”) confirm that you have read, understood, and agree to be bound by these Terms and Conditions in full.
These Terms apply to all services provided by Aggos, including but not limited to web design, conversion rate optimization, local SEO, paid advertising management (Google Ads and Facebook/Meta Ads), content creation, CRM setup, and email marketing automation.
2. Services
The specific services delivered to each client are defined by the pricing plan selected at time of purchase. Aggos reserves the right to adjust or substitute tools and platforms used to deliver services, provided the outcome and quality of delivery are not materially affected.
For paid advertising services, Aggos may manage campaigns through either:
- Agency-managed accounts — Aggos creates and manages ad accounts on the client’s behalf. Full transparency is maintained via invoicing and reporting dashboards.
- Client-owned accounts — The client provides access to their own Google Ads or Meta Ads account. Aggos manages campaigns within those accounts and is not responsible for account-level decisions made by the client.
Ad spend paid directly to Google or Meta is separate from and in addition to Aggos monthly service fees.
3. Client responsibilities
- Provide accurate business information, branding assets, login credentials, and timely feedback within agreed timelines.
- Ensure all materials, images, and content supplied to Aggos are legally owned or licensed by the client.
- Designate a primary point of contact available during reasonable business hours.
- Maintain valid payment details and settle invoices on time.
- Notify Aggos promptly of any changes to business information that may affect active campaigns or website content.
4. Intellectual property
Upon full payment of all fees owed, the client owns the final website design and all custom written content produced exclusively for their project. Aggos retains ownership of proprietary workflows, internal templates, frameworks, and methodologies used in delivering services.
Aggos reserves the right to feature completed client work in our portfolio, case studies, and marketing materials unless the client submits a written confidentiality request prior to project commencement.
5. Performance guarantee
Aggos guarantees a minimum 15% uplift in conversion rate within 30 days of website launch. If this is not achieved, the client may request a full refund for that billing cycle, subject to the following conditions:
- All required content and assets were supplied by the client prior to launch.
- The client approved the final design before the site went live.
- No unauthorised changes were made to the approved build after launch.
- The site received sufficient traffic to generate statistically meaningful data.
For paid advertising services, performance benchmarks are agreed upon at campaign kickoff. Aggos operates on a performance-based model for ad management. No refunds are issued for ad spend already deployed to platforms.
6. Payments and invoicing
All prices are quoted and billed in USD. Current accepted payment methods include PayPal, Wise, and Payoneer. Stripe will be added as an accepted method upon completion of LLC registration. Invoices are issued monthly in advance. Failure to pay within 7 days of the invoice due date may result in service suspension.
Clients in Australia, UK, USA, and South Africa may be subject to applicable local taxes. Philippine VAT may apply to services rendered to Philippine-based clients in accordance with local tax regulations.
7. Third-party platforms
Our services integrate with third-party platforms including Google, Meta, GoHighLevel, Hostinger, and WordPress. Aggos is not liable for changes to, outages of, or policy updates from any third-party platform. Continued availability of platform-dependent features is not guaranteed.
8. Limitation of liability
Aggos shall not be liable for indirect, incidental, special, or consequential damages, including loss of revenue, profit, data, or business opportunity, arising from the use or inability to use our services. Our total liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim.
9. Governing law
These Terms are governed by the laws of the State of Wyoming, United States of America. Any disputes not resolved through good-faith negotiation shall be subject to the jurisdiction of Wyoming courts. Philippine regulations apply where relevant to local tax and VAT obligations.
10. Amendments
Aggos may update these Terms at any time. Active clients will be notified by email at least 14 days before material changes take effect. Continued use of our services after that date constitutes acceptance of the revised Terms.
